1. Our Services

The specific scope, deliverables, timelines and fees for any engagement are set out in a separate proposal, statement of work or agreement ("Engagement Document") signed or confirmed by both parties. Where these Terms and an Engagement Document conflict, the Engagement Document governs for that engagement.

3. Fees & Payment

Fees, billing frequency and payment terms are set out in your Engagement Document. Unless stated otherwise: invoices are due within 7 days of issue; advertising spend is separate from our management fee and is paid directly to the ad platforms (or passed through, as agreed); and late payments may result in a pause of active campaigns or services until the account is brought current.

4. Intellectual Property

You retain ownership of your pre-existing brand assets, trademarks and content you provide to us. Upon full payment, deliverables created specifically for you under an Engagement Document (e.g. ad creative, written content, website builds) become your property, excluding any ZielDigital tools, templates, frameworks or pre-existing methodologies used to create them, which remain our property and may be reused across other client engagements.

5. Confidentiality

Both parties agree to keep confidential any non-public business, technical or performance information shared during the engagement, and to use it only for the purposes of delivering or receiving the Services. This obligation continues after the engagement ends.

6. Performance & Results

We bring proven, data-backed processes to every engagement, but digital marketing outcomes depend on many factors outside our control — including market conditions, competitor activity, platform algorithm changes, your pricing/offer, and your team's execution on approvals and inputs. We do not guarantee specific rankings, traffic, lead volumes, revenue or return on ad spend, and any figures discussed are estimates based on historical data and reasonable projections, not commitments.

7. Limitation of Liability

To the maximum extent permitted by law, ZielDigital's total liability arising out of or relating to the Services is limited to the fees paid by you for the Services in the three (3) months preceding the claim. We are not liable for indirect, incidental or consequential damages, including loss of profits, data or business opportunity.

8. Termination

Either party may terminate an ongoing engagement in line with the notice period set out in the Engagement Document (typically 30 days' written notice, unless agreed otherwise). Fees for work completed and ad spend already committed up to the termination date remain payable. Upon termination, we will hand over ownership access to accounts we manage on your behalf.

9. Indemnification

You agree to indemnify and hold ZielDigital harmless from claims arising out of your products, services, marketing claims, or any content or instructions you provide to us, to the extent we relied on them in good faith while delivering the Services.

10. Governing Law & Jurisdiction

These Terms are governed by the laws of India, and any disputes arising from them will be subject to the exclusive jurisdiction of the courts of Chennai, Tamil Nadu.

11. Changes to These Terms

We may update these Terms from time to time; the "Last updated" date above will reflect the most recent revision. Continued use of our website or Services after changes take effect constitutes acceptance of the updated Terms.
